1. Introduction
These Terms and Conditions govern your use of the Scalation platform and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use our services.
2. Definitions
- "Scalation" refers to Scalation Co. Ltd., operating as Scalation.ai.
- "Services" means the revenue management platform, tools, and features provided by Scalation.
- "Customer" means any individual or entity that subscribes to our Services.
- "Customer Data" means any data, information, or content uploaded to the platform by the Customer.
- "Subscription Term" means the period for which the Customer has subscribed to the Services.
3. Subscription and Access
3.1. Upon subscription, Scalation grants the Customer a non-exclusive, non-transferable right to access and use the Services during the Subscription Term.
3.2. The Customer is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
3.3. Scalation reserves the right to modify, suspend, or discontinue any part of the Services with reasonable notice to the Customer.
4. Fees and Payment
4.1. Fees are charged based on the selected plan (Standard or Pro) and number of rooms, as outlined in the Pricing page.
4.2. All fees are billed in advance for the Subscription Term unless otherwise agreed.
4.3. Payments are due within 30 days of invoice date. Late payments may result in suspension of Services.
4.4. Scalation reserves the right to adjust pricing with 30 days notice prior to renewal.
5. Cancellation and Termination
5.1. Either party may terminate this agreement with 30 days written notice.
5.2. Scalation may terminate immediately if the Customer breaches these terms or fails to pay outstanding fees.
5.3. Upon termination, Customer Data will be retained for 30 days before deletion, unless legally required otherwise.
6. Acceptable Use
The Customer agrees not to:
- Reverse engineer, decompile, or attempt to discover the source code of the Services
- Use the Services for any illegal or unauthorized purpose
- Upload any content that infringes on third-party rights
- Attempt to interfere with the proper working of the Services
- Use automated systems to extract data without written permission
- Share account credentials with unauthorized users
7. Data and Privacy
7.1. The Customer retains ownership of all Customer Data uploaded to the platform.
7.2. Scalation may use aggregated and anonymized data for product improvement and development purposes.

8. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, and branding, remain the exclusive property of Scalation. The Customer is granted only the limited rights expressly set out in these terms.
9. Limitation of Liability
To the maximum extent permitted by law, Scalation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of the Services. Our total liability shall not exceed the fees paid by the Customer in the 12 months preceding the claim.
10. Changes to Terms
Scalation reserves the right to modify these Terms and Conditions at any time. We will notify Customers of material changes at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated terms.
